Special Formations

A same day incorporation service is available for all companies but a surcharge of £150 + VAT will be made to cover increased registration fees etc.

Public Limited Companies

These are available to order with the name of your choice and objects clause but they must meet the following rules - at least two directors and a qualified secretary - a paid up share capital of £12500 and a minimum of two shareholders.

Guarantee Companies

These are available to order with the name of your choice and with specialised objects clause. Guarantee Companies are non-profit making organisations without a share capital. The word 'LIMITED' at the end of the title can be omitted.

Flat Management Companies

Usually formed to run a residents management company to look after the general running of blocks of flats. The objects clause is specially prepared to show this and the nominal capital normally reflects the number of flats.The name is usually the address of the property in question.

Any of the above companies should be formed within seven working days and you will then receive:-

• Certificate of Incorporation
• 6 Copies of the Memorandum and Articles of Association
• Minutes of the first meeting
• Certificate of non-trading
• Stock transfer forms (Not for a guarantee Company)
• Special Company register
• Form 225 (To alter the accounting reference date)
• Form 88(2) (when applicable)
• Company Seal
